Insolvency

ACME has extensive experience in providing advice to directors and shareholders in relation to their legal duties, responsibilities and liabilities as well as compliance and corporate governance issues.

We also advise directors in relation to companies in financial difficulties and their personal responsibilities to the company and its creditors as well as their potential liability for insolvent trading and its consequences.

Corporate advisory

ACME consulting excels in providing advice to directors and shareholders in relation to their legal duties, responsibilities and liabilities as well as compliance and corporate governance issues. From this stems the administrative and Tax law advises. We prepare shareholder and business succession agreements as well as company constitutions to address the specific circumstances of corporations and their stakeholders.

In our corporate law practice, we typically prepare and/or review:

  • Deed of Company arrangements
  • Asset sale agreements
  • Shareholders Agreements
  • Company Constitutions
  • Share Sale Agreements
  • Share Issue Agreements
  • Resolutions and Minutes of Meeting
  • Loan Agreements
  • Mortgages and Charges
  • Discretionary and Unit Trust Deeds
  • Business Succession Agreements

Mergers and Acquisitions

ACME consults for Australian and overseas clients in connection with mergers, acquisitions, sales and joint ventures across a wide range of industries. Many of our clients are local small to large size enterprises and also Chinese, Singaporean and Philippine manufacturing companies acquiring Australian distribution operations either through joint ventures with their Australian distributors or agents, or outright acquisitions of distribution businesses. We give advice on acquisition strategy, pre-transaction structuring and due diligence. We also assist in negotiations and the preparation and review of appropriate sale documentation and completion of merger and acquisition transactions. We advise clients in relation to all post-acquisition arrangements such as the introduction and implementation of group policies and procedures and identifying sources of professional expertise such as recruitment, banking and accounting service providers.
